1. Introduction

Welcome to Stilmotion. These Terms and Conditions ("Terms") govern your access to and use of our services, including AI-generated videos, subscription plans, and any other services provided ("Services"). By using our Services, you agree to these Terms.

2. Services Provided

Stilmotion transforms client-supplied imagery into professional-quality videos using advanced AI technology and creative editing. Services include:

• Subscription Plans: Monthly video creation services with agreed-upon deliverables.
• Ad Hoc Services: Per-project video creation based on client needs.
• Enterprise Projects: Larger-scale creative or bespoke video projects.

3. Client Responsibilities

• Content Supply: Clients must provide high-quality, licensed images or content for video creation. Clients are responsible for securing any necessary permissions.
• Accuracy: Information provided (e.g., property details, branding specifications) must be complete and accurate.
• Approval: For subscription services, Stilmotion will use approved images and creative direction to streamline production, reducing the need for rounds of revisions.

4. Intellectual Property

• Ownership: Clients retain ownership of their original supplied content.
• Stilmotion Creations: Videos produced by Stilmotion may incorporate proprietary templates, AI models, and creative assets. Ownership of these underlying assets remains with Stilmotion. Final delivered videos are licensed to clients for commercial use, unless otherwise stated.
• Usage Rights: Stilmotion reserves the right to showcase completed work for promotional purposes unless a confidentiality agreement is signed.

5. Payment Terms

• Subscription Plans: Monthly fees are billed in advance. Payment is due within 7 days of invoice.
• Ad Hoc Services: Payment is due within 7 days of invoice.
• Late Payments: A 5% late fee may apply to overdue invoices after 14 days and every 14 days until payment is received.

6. Delivery and Turnaround

• Standard Turnaround: Typical turnaround is 48 hours unless discussion is had.
• Delays: Stilmotion is not responsible for delivery delays caused by incomplete, inaccurate, or late client-provided materials.

7. Revisions

• Ad Hoc Clients: One round of minor revisions is included, however $20 charge for each creative change beyond the scope of approved materials may incur additional charges and the further revisions will be billed separately.

Videos will be stored for up to 30 days before being archived.

8. Cancellations and Refunds

• Subscriptions: Monthly subscriptions can be cancelled with 30 days' written notice. No refunds for partially used periods.
• Ad Hoc Services: If a project is cancelled after work has commenced a 50% fee will apply based on work completed.

9. Limitation of Liability

Stilmotion is not liable for any indirect, incidental, special, or consequential damages arising from the use of its services.

Maximum liability shall not exceed the total amount paid by the client for the specific project or subscription period.

10. Confidentiality

Both parties agree to maintain confidentiality of any non-public information shared during the course of projects unless otherwise agreed in writing.

11. Force Majeure

Stilmotion is not liable for any failure to perform due to causes beyond its reasonable control, including acts of God, pandemics, government restrictions, or technological failures.

12. Changes to Terms

Stilmotion may update these Terms from time to time. Continued use of our Services after changes are posted will constitute acceptance of those changes.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia.
